By installing, accessing, or using the NeuroConversions ("Service") Shopify application, a product of Neuroconversions LLC ("we," "us," "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these terms, you must not use our Service.
NeuroConversions provides an AI-powered conversion optimization platform for Shopify stores. The Service is a subscription-based application that acts as an intelligent partner to help you end guesswork and build a compounding growth asset. You are responsible for maintaining the security of your Shopify account and for all activities that occur under your account. You must notify us immediately of any unauthorized use or security breach. You agree to provide accurate and complete information when you register for and use the Service.

Our collection and use of your data is governed by our Privacy Policy. By using our Service, you consent to our data practices as described therein.
Under our Founding Partner and Performance CRO programs, you pay €0 / $0 upfront and €0 / $0 in monthly retainers. Unlike self-serve DIY software tools where you pay a monthly subscription regardless of results and must design, code, and manage tests yourself, NeuroConversions handles all strategy, custom storefront design, coding, multi-device QA, and statistical analysis at our own cost while you remain in the driver's seat (you approve every test before it goes live, retain a 1-click off switch in Shopify, and decide what stays on your store).
We only charge a one-time commission after an A/B test is statistically evaluated as a winner and only when you decide to show it to all users (100% traffic rollout). That one-time fee is two percent (2%) of the projected additional yearly revenue the winning test generates (meaning you retain the other 98% of the additional yearly revenue). Additional yearly revenue is measured transparently from the concurrent 50/50 split test as: (Variant Revenue Per Visitor − Control Revenue Per Visitor) × Monthly Store Sessions × 12.
If a test does not reach statistical significance as a winner, does not clear the 2x During-Test Revenue Guarantee described in Section 10, or if you choose not to roll the change out to all users, you pay €0 / $0.
This earning model is offered strictly for our Founding Partner program while we collect our launch reviews and proof. Because we front 100% of the custom design and development workload ourselves at €0 / $0 upfront, new enrollment under this deal will close once our team workload capacity is full. Once your store begins a partnership with NeuroConversions, we contractually guarantee to lock in these exact terms for your store for three (3) full months (90 days). Whenever a test is validated as a winner and you choose to roll it out to all shoppers, our team permanently implements the winning upgrade directly into your Shopify theme (or delivers the clean production code) at no extra cost, ensuring you keep 100% of your graduated upgrades, custom designs, and customer data forever, even if you uninstall the app. At the end of the 3-month window, there is zero automatic billing or renewal: we review your cumulative results together and you may either (a) extend these performance terms by mutual agreement, (b) transition to our self-serve software plan with your lifetime 50% Founding Partner discount, or (c) conclude the partnership with €0 / $0 further obligation.
Where applicable for self-serve software subscriptions billed through Shopify's Billing API (including the permanent 50% Founding Partner rate lock of $249/month off the $499/month standard plan), details are presented prior to activation and may be cancelled in one click at any time by uninstalling or toggling off the app.
NeuroConversions and its licensors retain all right, title, and interest in and to the Service, including all related technology, algorithms, and intellectual property. We grant you a limited, non-exclusive, non-transferable license to use our Service in accordance with these Terms.
You retain full ownership of your store's underlying data, including customer information, product data, and sales data ("Your Data").
You grant NeuroConversions a perpetual, worldwide, non-exclusive, royalty-free license to use, process, and analyze Your Data in an aggregated and anonymized form. This anonymized data is used for the sole purposes of:

Our Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee specific results or conversion improvements. The AI-generated insights, hypotheses, and recommendations are provided for informational purposes only. You are solely responsible for deciding which recommendations to implement and for the results of any tests you conduct.
To the fullest extent permitted by law, in no event will NeuroConversions, its affiliates, officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of the Service. Our aggregate liability for all claims relating to the Service shall not exceed the amount you paid for the Service in the 12 months preceding the claim.
We guarantee that a change has already made at least twice (2x) our one-time 2% fee in verified additional revenue during the live A/B test itself before it is even evaluated as a winner. This contractual condition precedent ensures that the extra revenue is already in your merchant pocket before you ever pay a cent, and you only pay when you decide to show the winning change to all users.
If a test does not win, does not generate at least 2x our one-time fee in additional revenue during the live test run, or if you choose not to roll it out to all users, you pay €0 / $0.
An “Evaluated Winning Test” is defined as a live 50/50 randomized split test deployed through the isolated NeuroConversions Shopify App Embed that (a) runs for at least 14 days with at least 100 conversions per variant, (b) achieves 95% or greater statistical significance (p < 0.05) on Revenue Per Visitor or Conversion Rate cross-verified against Shopify Analytics, (c) has already generated at least 2x the one-time 2% commission in cumulative incremental gross revenue during the live test window, and (d) is approved by you to be shown to 100% of store users.
To ensure clean statistical measurement across every 50/50 split:
You may terminate your account at any time by uninstalling the app from your Shopify store. We may suspend or terminate your account for any reason, including violation of these Terms or non-payment of fees, with or without notice. Upon termination, your access to the Service will cease, and your data will be handled as described in our Privacy Policy.
We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of any material changes by posting the new Terms on our site and updating the "Last updated" date. Your continued use of the Service after the effective date of the new Terms constitutes your acceptance of the changes.
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Cheyenne, Wyoming, and the parties irrevocably consent to the personal jurisdiction and venue therein.
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect and enforceable.
